This indemnity template, made as a deed, is for a registered shareholder in a private company whose paper share certificate has been lost, stolen or destroyed and who asks the company to issue a replacement. The shareholder indemnifies the company, its directors and its secretary against claims arising from the replacement.

Who is this template for?

It suits shareholders of private companies and the companies asked to issue a replacement certificate. As the document itself states, it is not for a listed company or for shares held electronically, which use the registrar’s own form.

What does the template include?

The document is made up of numbered sections:

  • The Shareholder — who the deed is for, and the shareholder’s details as an individual or a company.
  • The Company — the company name, number and registered office.
  • The Missing Certificate — the certificate number, number and class of shares, date, tick boxes for lost, stolen or destroyed, a police reference and an account of the searches made.
  • The Shareholder’s Statements — confirmations that the shareholder is entitled to the shares and that the certificate has not been dealt with.
  • Request for a Replacement — the request for a replacement certificate, any fee, and cancellation of the missing certificate.
  • Indemnity — the shareholder’s indemnity to the company, its directors and its secretary, with limits for late notice and unagreed settlements.
  • If the Original Is Found — the shareholder returns a recovered certificate for cancellation.
  • Guarantor — a choice of no guarantor or a named bank or person who guarantees the indemnity.
  • Governing Law — the law and courts of England and Wales.
  • Execution — deed signature blocks for the shareholder and the guarantor, each with a witness or second company signatory.

Easy to customise

The template opens in Microsoft Word, Google Docs and LibreOffice. Fill in the highlighted fields, describe the missing certificate and how it went missing, tick the guarantor option, and edit any clause to suit the company’s requirements.
