This cleaning services contract sets out the terms on which a cleaning contractor provides regular cleaning to a client’s commercial premises. It records the scope, schedule and fees and addresses insurance, quality and liability for a professional working relationship.

Who is this template for?

It suits cleaning companies, sole-trader cleaners and their business clients in England and Wales. Use it for office, warehouse, retail and similar premises cleaned on a recurring schedule. It is written for commercial premises, not for household or one-off end-of-tenancy cleans.

What does the template include?

The contract is organised into clearly numbered clauses covering the engagement:

  • Parties — identifies the contractor and the client.
  • Premises — where the work is carried out.
  • Scope of cleaning services — what is cleaned.
  • Frequency and schedule — when cleaning takes place.
  • Term — an initial term, then rolling monthly unless either side gives 30 days’ notice.
  • Contractor obligations — duties of the cleaner.
  • Client obligations — duties of the client.
  • Fees and payment — a periodic fee invoiced monthly in advance and payable within 14 days, with extra services agreed in writing.
  • Quality and inspection — standards and checks.
  • Insurance — required cover.
  • Confidentiality — handling of confidential information.
  • Damage and liability — the contractor’s liability for damage caused by its negligence is limited to its public liability cover.
  • Limitation of liability — liability capped at fees paid in any 12 months, with no liability for indirect loss.
  • Termination for cause — ending the contract on unremedied breach after 7 days’ notice.
  • Governing law — England and Wales jurisdiction.
  • Signatures — execution by both parties.
