This consignment agreement governs the supply of goods by a consignor to a consignee to sell on the consignor’s behalf, with the consignor retaining title until sale. It records pricing, commission and what happens to unsold stock.
Who is this template for?
It suits suppliers, manufacturers, artists and makers placing stock with retailers, galleries or shops on a sale-or-return basis in England and Wales. Use it where goods are sold for the supplier without the retailer buying them outright.
What does the template include?
The agreement is organised into clearly numbered clauses covering the consignment:
- Parties — identifies the consignor and the consignee.
- Consignment goods — the goods supplied.
- Consignment arrangement — the consignee sells as the consignor’s agent and never owns the goods.
- Consignee’s obligations — duties of the consignee.
- Pricing — recommended prices only; the consignee sets its own sale prices (no minimum resale price).
- Consignment period — how long goods are held.
- Commission — the consignee’s commission.
- Accounts and payment — reporting and paying over proceeds.
- Return of unsold goods — handling unsold stock.
- Loss and damage — the consignee is responsible for stock in its possession and must insure it.
- Title and insolvency — retention of title.
- Intellectual property — use of brands and materials.
- Limitation of liability — caps and exclusions on liability.
- Termination — ending the agreement.
- Governing law — England and Wales jurisdiction.
- Signatures — execution by both parties.
