This Marketing Services Agreement sets out the terms on which a marketing agency provides services to a client in England and Wales. It covers the scope of work, fees, ownership of marketing materials and the obligations on both sides.

What does the template include?
The agreement is organised into clearly numbered sections:
- Parties — the agency and the client.

- Term — an initial term, then rolling monthly unless either side gives 30 days’ notice.
- Agency Obligations — what the agency will do.
- Client Obligations — what the client must provide.
- Fees, Expenses and Payment — retainer, project or hourly fees, third-party costs at cost plus a handling fee, and payment within 30 days.
- Intellectual Property — deliverables are assigned to the client on full payment; the agency keeps its pre-existing tools and know-how.
- Client Approvals and Compliance — the client approves material before publication and indemnifies the agency for claims about client-approved material.
- Confidentiality — protection of information.
- Data Protection — each party complies with data protection law, with a data processing agreement where the agency processes personal data for the client.
- Limitation of Liability — the agency’s liability is capped at fees paid in the 6 months before the claim, with no liability for indirect loss.
- Termination — 30 days’ notice after the initial term, or immediately for unremedied breach.
- Governing Law — England & Wales jurisdiction.
- Signatures — execution by the parties.
