What does the template include?

The agreement is made up of numbered sections:

• Parties — details of the seller and the buyer, as individuals or companies, with trading names.
• What Is Being Sold — the trade, number of customers, service frequency, area, average monthly takings, the customer records, an equipment table, tick boxes for the trading name, phone number and online listings, excluded items and any liabilities taken over.
• Price and Payment — the total price and completion date, with a choice of payment in full, a deposit and balance, or a staged payment after the introduction period.
• Handover and Introduction — handover of the list, records, equipment and access details, and the seller introducing the buyer and working alongside them until a set date.
• Customer Retention Adjustment — an optional retention threshold and check date, with a price reduction per customer short of the threshold.
• Seller’s Promises — that the customers are real and current, the takings figure is true, disputes are disclosed and the equipment is free of finance.
• Seller’s Restriction — a restriction period during which the seller will not approach or serve listed customers or trade in the area.
• Customer Personal Data — how the customer list is passed on and used, joint notice to customers, and deletion of the seller’s copies.
• Money Before and After Completion — who keeps payments for work done before completion and payments made in advance.
• General — whole agreement, changes in writing, each party’s own tax and costs, and governing law of England and Wales.
• Signatures — signature blocks for the seller and the buyer.
