• Cancellation and Rescheduling — no charge over 14 days’ notice, 50% at 7 to 14 days, 100% under 7 days.
• Intellectual Property — the trainer keeps its standard materials, and the client and delegates get a licence for internal use only.
• Confidentiality — protection of confidential information.
• Data Protection — both parties comply with data protection law, and delegate data is used only to deliver the training.
• Limitation of Liability — the trainer’s liability is capped at the fees paid for the session, with no liability for indirect loss.
• Term and Termination — runs until the agreed sessions are complete, ended on 30 days’ notice or immediately for unremedied breach.
• Governing Law — England and Wales jurisdiction.
• Signatures — execution by both parties.
