This deed of variation template records agreed changes to an existing written contract between two businesses or self-employed people. The changes are set out clause by clause in a table of existing and new wording, and the rest of the contract carries on as before.
Who is this template for?
It suits two parties to a commercial contract who have agreed to change some of its terms and want the changes recorded in a signed deed. As the document itself states, it is not for employment contracts, leases or contracts with consumers.
What does the template include?
The document is made up of numbered sections:
- Parties — details of the First Party and Second Party, with company numbers where relevant, and the date of the deed.
- The Original Contract — title, date and reference of the contract being varied, and any earlier variations or side letters.
- The Variations — a table of clause, existing wording (or summary) and new wording, with provision for a further initialled sheet if more rows are needed.
- Effective Date — when the changes apply, with earlier rights and claims left unaffected.
- The Contract Continues — the contract stays in force as varied.
- No Consideration Needed — the parties intend the deed to bind them whether or not either receives anything in return.
- Authority — each party confirms its power and approvals to sign.
- Entire Agreement on the Variation — the deed is the whole agreement about the changes, and later changes must be in writing and signed.
- Governing Law and Disputes — the law of England and Wales, following the contract’s own dispute process where it has one.
- Execution — signature blocks for each party with a witness or second signatory.
