This advertising agreement sets out the terms on which a publisher, platform or advertising agency provides advertising services to an advertiser. It is designed for businesses commissioning or supplying advertising campaigns and helps both sides agree scope, fees and responsibilities before any creative work goes live. It is written from the publisher or platform’s side: the advertiser gives the warranties and the indemnity, and the publisher’s liability for failing to publish is limited to a refund or credit.

Who is this template for?

It suits advertisers, marketing departments, advertising agencies, media owners and digital platforms in England and Wales. Use it for print, digital, social or out-of-home campaigns where clear obligations, warranties and payment terms are needed. Agencies can use it as the publisher or platform, or on the advertiser’s side by negotiating the terms.

What does the template include?

The agreement is organised into clearly numbered clauses covering the full relationship:

  • Parties — identifies the advertiser and the publisher or platform.
  • Advertising services — the campaign, placements and deliverables.
  • Creative materials — supply, approval and use of artwork and copy.
  • Advertiser warranties — assurances about the content provided.
  • Publisher / platform obligations — duties of the party running the ads; no guarantee of impressions, clicks or results unless agreed in writing.
  • Fees and payment — charges, invoicing, payment within 30 days and a cancellation charge scale (none over 14 days before the start, 25% at 7 to 14 days, 100% under 7 days or after the start).
  • Intellectual property — ownership and licensing of materials.
  • Indemnity — the advertiser indemnifies the publisher against breach of its warranties and content it supplies or approves.
  • Limitation of liability — the publisher’s liability for non-publication is limited to a refund or credit, and neither side is liable for indirect loss.
  • Confidentiality — handling of confidential information.
  • Termination — how and when the agreement may end.
  • Governing law — England and Wales jurisdiction.
  • Signatures — execution by both parties.
