This Master Services Agreement provides a framework for an ongoing relationship between a supplier and a customer in England and Wales, with individual projects ordered under separate statements of work. It puts the core legal terms in one place so they do not need renegotiating for each engagement.
Who is this template for?
For consultancies, agencies, IT and professional services providers and their clients who expect repeat work and want a single framework governing each project. Each project needs its own signed statement of work, which you write and attach.
What does the template include?
The agreement is organised into clearly numbered sections:
- Parties — the supplier and the customer.
- Definitions — key terms used throughout.
- Statements of Work — how individual projects are commissioned.
- Performance of Services — standards and delivery.
- Fees and Payment — charges and payment terms.
- Intellectual Property Rights — deliverables are assigned to the client on full payment; the supplier keeps its background IP.
- Confidentiality — protection of information.
- Data Protection — each party complies with data protection law, with a data processing agreement where the supplier processes personal data for the customer.
- Limitation of Liability — the supplier’s liability is capped at fees paid in the 12 months before the claim, with no liability for indirect loss.
- Warranties and Representations — assurances given.
- Indemnity — a mutual indemnity for breach, third-party IP infringement and negligence.
- Term and Termination — continues until ended on 90 days’ notice (once active statements of work are complete), or immediately for unremedied breach.
- Force Majeure — events beyond reasonable control.
- General Provisions — boilerplate terms.
- Governing Law — England & Wales jurisdiction.
- Signatures — execution by the parties.
