This PR Services Agreement sets out the terms on which a public relations agency provides services to a client in England and Wales. It covers the scope of the PR work, fees, ownership of materials and the responsibilities of both parties.
Who is this template for?
Designed for PR and communications agencies, consultants and freelancers, and the businesses and individuals that engage them for media relations, press and reputation work.
What does the template include?
The agreement is organised into clearly numbered sections:
- Parties — the agency and the client.
- Services — the PR services to be provided.
- Term — an initial term, then rolling monthly unless either side gives 30 days’ notice.
- Agency Responsibilities — what the agency will do.
- Client Responsibilities — what the client must provide.
- Fees, Expenses and Payment — a monthly retainer in advance, day rates for extra work and expenses at cost.
- No Guarantees — the agency uses reasonable endeavours but does not guarantee any coverage or outcome, because editorial decisions belong to the media.
- Intellectual Property — deliverables are assigned to the client on payment; the agency keeps its pre-existing methods and tools.
- Confidentiality — protection of information.
- Data Protection — each party complies with data protection law and needs a lawful basis for sharing personal data such as media contacts.
- Limitation of Liability — the agency’s liability is capped at fees paid in the 6 months before the claim, with no liability for indirect loss.
- Termination — 30 days’ notice after the initial term, or immediately for unremedied breach.
- Governing Law — England & Wales jurisdiction.
- Signatures — execution by the parties.
