This Rent Deposit Deed governs a cash deposit provided by a tenant to secure their obligations under a commercial lease in England and Wales. It sets out how the deposit is held, when the landlord may draw on it and how it is returned.
Who is this template for?
For commercial landlords and tenants who have agreed a rent deposit as security for a lease, and their advisers, who need a clear deed governing the deposit separately from the lease itself.
What does the template include?
The deed is organised into clearly numbered sections:
- Parties — the landlord and tenant.
- The Lease — the lease the deposit relates to.
- Deposit Amount — the sum held as deposit.
- Holding of the Deposit — held by the landlord in a separate designated account, with legal ownership staying with the tenant until drawn.
- Interest — tick box: the landlord keeps the interest or it is credited to the tenant annually.
- Landlord’s Right to Draw on the Deposit — for unpaid rent, damage and recoverable costs, on at least 5 business days’ written notice, with disputes going to negotiation and then expert determination.
- Obligation to Top Up — the tenant restores the deposit within 14 days of any draw.
- Return of the Deposit — repayment within 30 days after the lease ends and any claims are settled, with a written statement of account.
- Rent Review and Deposit Adjustment — adjusting on rent review.
- Governing Law — England & Wales jurisdiction.
- Execution — signing as a deed.
