Who is this template for?

It suits individuals and companies buying or selling a website, blog or online business privately. As the document itself states, it is not for a sale made under a marketplace platform’s own contract. Registered trade marks and the seller’s debts or contracts are not included unless listed, and a registered trade mark needs its own transfer document.

• Copyright and Third-Party Components — assignment of the seller’s intellectual property on payment, a moral rights waiver, and third-party themes, plugins and images passing only as their licences allow.
• Seller’s Promises — traffic and revenue figures for a stated period, ownership of domains and content, and no known claims, search-engine penalties or bought links.
• Email List and Personal Data — a tick-one choice on whether the list is included, and each party’s data protection responsibilities.
• Seller’s Non-Compete — a restriction period and niche within which the seller will not run a competing site or approach advertisers, partners or subscribers.
• Support After Completion — a support period and maximum hours of email help from the seller.
• Liability — each party’s liability capped at the total price, with a 12-month period for claims about the seller’s promises.
• General — entire agreement, changes in writing, discussion of disputes, and governing law of England and Wales.
• Signatures — signature blocks for the seller and the buyer, with a position line for companies.
